Future operation of St David's Hall
The Cabinet noted the Outline Business Case in Confidential Appendix 4. It approved in principle the offer from Academy Music Group (AMG), set out as Option 2, and the draft Heads of Terms in Confidential Appendix 5. It delegated authority to the Director of Economic Development, in consultation with the Cabinet Member for Culture, Parks and Events, the Section 151 Officer and the Legal Officer, to negotiate with AMG. Legal Services will prepare the contract documents. The Cabinet noted that consultation will take place as part of the budget consultation and with affected staff about a possible transfer to AMG. It noted that the consultation findings and an assessment of best value will return to Cabinet before a final decision.

St David's Hall transfer to Academy Music Group
Cabinet delegated authority to the Director of Economic Development, after consulting the Cabinet Member for Culture, Parks & Events, the Section 151 Officer and the Legal Officer, to conclude negotiations with Academy Music Group (AMG) and other stakeholders. This covers a memorandum of understanding with stakeholders, a 45-year lease and a business sale agreement for the hall, based on the principles in the confidential appendix. Cabinet also authorised the transfer of employees to AMG under TUPE.

St David's Hall roof surveys and proposed transfer to AMG
The Committee supported setting up a working group of AMG and Council officers, including planning, conservation and economic development officers, to decide whether planning or conservation permission is the main issue for reopening the hall. It agreed that the Chairperson, on the Committee's behalf, will write to the Cabinet Member with the Committee's observations on the way forward. The minute does not record a decision on the lease itself, as this was pre-decision scrutiny of a report to Cabinet.

St David's Hall lease to AMG after RAAC closure
Cabinet delegated authority to the Director of Economic Development, in consultation with the Cabinet Member for Culture, Parks and Events, the Section 151 Officer (the senior finance officer) and the Legal Officer, to conclude negotiations with AMG. This covers: finalising a Conditional Agreement for Lease (an agreement that sets conditions that must be met before the lease can take effect); entering the lease and related documents once those conditions are met; and completing a business sales agreement on the principles in Confidential Appendix 3. Cabinet also noted the continued closure of the hall until AMG meets the conditions. It noted the staff engagement strategy, as it is unlikely that all staff will transfer to AMG under TUPE (rules that protect staff when their work moves to a new employer), as the July 2023 Cabinet report had expected.
Items are linked when their titles share most of their words and they fall within 18 months of each other. Councils don't number reports across meetings, so a few links may be wrong, and a step may be missing if its title changed a lot. Each step links to the meeting, where the council's own papers are.
