Setting up Celtic Freeport Company Limited
Cabinet noted the progress on the Outline Business Case. It approved setting up Celtic Freeport Company Limited as a company limited by guarantee, a company with no share capital, and authorised the council to take a membership in it. It approved the Articles of Association and the draft Members' Agreement, and delegated signing of the Members' Agreement to the Chief Executive and Head of Law and Governance, in consultation with the Leader. It delegated minor changes to those documents to the Chief Executive, in consultation with the Leader and Deputy Leader, but not any new financial commitments. It nominated the Assistant Chief Executive as the council's director on the company's board, and agreed to provide him with an indemnity (protection against personal liability) for the length of his time as director.
Items are linked when their titles share most of their words and they fall within 18 months of each other. Councils don't number reports across meetings, so a few links may be wrong, and a step may be missing if its title changed a lot. Each step links to the meeting, where the council's own papers are.
